Partner Terms

Scope

These terms apply to organisations we accept as partners. They add to the Terms of Service, which apply to the partner's own use of Vantiqo and which the partner must pass on to its customers in substance.

Customers' workspaces

• A partner may create workspaces for its customers within the number agreed with us. Each customer is the controller of its workspace's data; the customer decides whether the partner may open its workspace, with which highest role and whether it shares finding counts, and can change or withdraw that at any time.
• Every partner access is time-limited, recorded in the customer's audit log and announced to the customer. Partners must access customers' workspaces only for the services agreed with that customer.

Billing

We invoice the partner monthly for its customers' workspaces at the partner price (list price less the agreed discount). The partner bills its customers under its own terms and is responsible for paying us whether or not its customers pay it. If a partner invoice stays unpaid after the grace period, we may suspend the partner's access and its customers' workspaces until it's paid; customers' data is kept, and we may offer customers a direct contract.

Partner users

Partner users sign in on the platform console, see only the partner portal, and must use two-factor sign-in. The partner is responsible for its users and tells us at once when someone leaves.

Branding

A partner may show its name and logo in its portal and to its customers as agreed; it may not imply that it is Vantiqo or misrepresent the service.

Ending

Either side may end the partnership with 60 days' notice. Customers' workspaces then move to a direct contract with us or are exported and closed, as each customer chooses.
